TERMS OF SERVICE Effective date: July 24, 2026 Last updated: July 24, 2026 These Terms of Service ("Terms") govern your access to and use of the Friendship mobile application, website at friendshipp.site, and related services (the "Service") operated by Friendship ("Friendship," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Friendship. 1. ELIGIBILITY You must be at least 18 years old to use Friendship. By using the Service, you represent that you meet this requirement and that the information you provide is accurate. Some features (including student-focused community tools and Sugar) may require additional eligibility checks, verification, or consent. We may refuse, suspend, or limit access if eligibility cannot be confirmed. 2. YOUR ACCOUNT • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. • Provide accurate profile information. Do not impersonate another person or misrepresent your identity, school, age, or affiliation. • You may sign in with email/password or supported social providers (such as Google or Apple). Your use of those providers is also subject to their terms. • Notify us promptly at hello@friendship.app if you suspect unauthorized access. • We may reclaim usernames, remove misleading profiles, or require re-verification at our discretion. 3. THE SERVICE Friendship may include, without limitation: • Social feed, posts, photos, reels, stories, and profiles • People discovery and nearby features • Campus/community plans and meetup tools on a map • Direct messages and group chat • Voice and video calling • Gifts, tickets, subscriptions, and wallet features • Optional Sugar dating features for verified users We may change, suspend, or discontinue any part of the Service at any time, including features, availability by region, or pricing. 4. ACCEPTABLE USE You agree not to: • Harass, threaten, stalk, defame, or discriminate against others • Post or share illegal, sexual content involving minors, non-consensual intimate imagery, extremist content, or content that exploits others • Spam, scrape, crawl, or use bots/automated systems without our written permission • Upload malware or attempt to disrupt, reverse engineer, or gain unauthorized access to the Service • Use Friendship to arrange or promote illegal activity, fraud, or unsafe meetups • Share others' private information without permission • Circumvent bans, verification, payment systems, or safety controls • Use Sugar or dating features if you are not eligible or have not completed required consents We may remove content, limit features, or suspend/terminate accounts that violate these rules or create risk for the community. 5. USER CONTENT You retain ownership of content you create and upload ("User Content"). By posting User Content, you grant Friendship a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and otherwise use that content as needed to operate, improve, promote, and provide the Service. You represent that you have all rights needed to post your User Content and that it does not infringe others' rights. You can delete some User Content in the app. Copies may remain in backups, logs, or shared places for a period of time. We may remove User Content that violates these Terms. 6. MEETUPS, SAFETY, AND REAL-WORLD INTERACTIONS Friendship helps people connect online and meet in person. You are solely responsible for your interactions with other users, including meetups. Safety tips (not exhaustive): • Meet in public places for first meetings • Tell a friend where you are going • Do not share financial information or send money to people you do not trust • Leave immediately if you feel unsafe • Report suspicious or abusive behavior in the app Friendship does not conduct criminal background checks on all users and does not guarantee the identity, intentions, or conduct of any user. To the fullest extent permitted by law, we are not liable for the actions of users offline or online. 7. SUGAR FEATURES Sugar is an optional dating-related experience that may require age confirmation, identity review, and explicit consent to guidelines and terms. Approval is not guaranteed. Misuse of Sugar, fake verification materials, or unsafe conduct may result in removal from Sugar and/or the Service. 8. PAYMENTS, TICKETS, GIFTS, AND SUBSCRIPTIONS • Certain features require payment through third-party processors (such as Stripe). Their terms apply to payment processing. • Prices, fees, and taxes may change. Displayed prices may exclude applicable taxes. • Ticket purchases for plans/events may be subject to host and platform refund rules. Unless required by law or expressly stated otherwise, fees for digital gifts, consumables, and completed services are non-refundable. • Subscriptions renew according to the plan you select until canceled through the available cancellation method for your platform (App Store, Google Play, or in-app/web controls where offered). • You are responsible for any charges incurred under your account. 9. VOICE AND VIDEO CALLS Calls may use third-party real-time infrastructure. You must not record calls without required consent under applicable law. We may log call metadata for safety, billing, and reliability. Call quality depends on your network and device permissions (microphone/camera). 10. INTELLECTUAL PROPERTY The Service, including branding, design, software, and logos, is owned by Friendship or its licensors and protected by intellectual property laws. Except for your User Content, you may not copy, modify, distribute, sell, or create derivative works from the Service without our prior written permission. 11. REPORTS AND MODERATION You can report users or content that violate these Terms. We may investigate and take action we believe is appropriate, but we are not obligated to take action on every report and do not guarantee specific outcomes. 12. THIRD-PARTY SERVICES AND LINKS The Service may integrate or link to third-party services (maps, payments, sign-in, calling, app stores). We are not responsible for third-party services, content, or policies. Your use of them is at your own risk. 13. DISCLAIMERS THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRIENDSHIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT MEETUPS OR MATCHES WILL MEET YOUR EXPECTATIONS. 14. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRIENDSHIP AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE OR INTERACTIONS WITH OTHER USERS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FRIENDSHIP IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. 15. INDEMNITY You agree to defend, indemnify, and hold harmless Friendship and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your meetups with other users, or your violation of these Terms or applicable law. 16. SUSPENSION AND TERMINATION You may stop using Friendship at any time and may request account deletion. We may suspend or terminate access immediately if you violate these Terms, create risk, or if we discontinue the Service. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination. 17. CHANGES TO THESE TERMS We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may also be noticed in-app or by email. Continued use after changes become effective constitutes acceptance. 18. GOVERNING LAW These Terms are governed by the laws applicable in the jurisdiction where Friendship primarily operates its Service, without regard to conflict-of-law principles, unless mandatory consumer protections in your country require otherwise. Courts in that jurisdiction will have exclusive venue for disputes, except where prohibited. 19.
